
Essential elements of a contract

A valid contract isn’t just a handshake — it must include several essential components.

1. Offer
Every contract starts with a clear offer. One party proposes something — a service, product, or payment — expecting the other to accept it. A valid offer must be:
- specific and detailed
- directed to a particular party
- expressed clearly (written or verbal)
2. Acceptance
The other party must fully accept the offer without changes. Any modification becomes a counteroffer. Acceptance can be:
- written (like signing a document)
- verbal (in limited contexts)
- implied through action (like starting the work)
3. Consideration
Consideration is what each party gives in return — money, services, access, or goods. It’s a core element of any contract agreement. If there’s no mutual exchange of value, the contract may be considered void.
4. Capacity
Both parties must have the legal ability to enter into a contract. This includes:
- being of legal age (usually 18+)
- having mental capacity and acting voluntarily
- being a legal entity (in B2B contracts)
5. Legality
A contract must involve legal subject matter. Any agreement related to illegal activity is not enforceable. That includes contracts for banned products, unlawful services, or actions that violate the law.
6. Intention to create legal relations
Both parties must genuinely intend to create a legally binding contract. Agreements made as a joke, under pressure, or without real intent don’t count. In business, this intention is usually presumed.
7. Proper form (when required)
While many contract types can be verbal, some must be written to be enforceable:
- sale of real estate
- employment contracts
- licenses and IP agreements
- high-value business deals
